1. About these terms
These terms govern your use of the website at www.arctanedigital.co.uk and any services you engage from us. By using the site or instructing us, you accept these terms.

2. Services
We provide web design, web development, hosting, maintenance, search engine optimisation (SEO), Microsoft 365 and Microsoft Exchange services to UK businesses. The exact scope of any engagement will be set out in a proposal, statement of work, or order confirmation provided to you before work begins.
Pricing for our standard recurring services is published on our pricing page. Any work outside the agreed scope is billed at our standard hourly rate of £15 per hour with a one-hour minimum.
3. Engaging us
A binding agreement is formed when you accept a proposal in writing (including by email) or pay an invoice for work to begin. We may decline to take on any project at our discretion.
4. Payment
- Recurring services (hosting, maintenance, SEO, M365, Exchange) are billed monthly in advance.
- Project work is billed according to the milestones set out in the proposal.
- Payment terms are 14 days from the invoice date unless agreed otherwise in writing.
- Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
- We may suspend services for accounts that are more than 30 days overdue.
5. Your responsibilities
You agree to:
- Provide accurate information, content, and access required to deliver the services.
- Ensure that any content, branding, or materials you supply do not infringe third-party rights.
- Use the services in compliance with applicable UK law.
6. Intellectual property
On full payment of all sums due for a project, you receive a non-exclusive, perpetual licence to use the deliverables (designs, code, content) for the agreed website. We retain ownership of any underlying tools, libraries, and reusable components. Third-party components remain subject to their own licences.
We may showcase the work as part of our portfolio unless you ask us not to in writing.
7. Hosting & uptime
Where we host your site, we will use reasonable endeavours to meet the uptime SLA published for your hosting plan. If we miss the SLA in any given month, a service credit will be applied to your next invoice. Uptime is measured by our monitoring system and excludes scheduled maintenance and force-majeure events.
8. Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law.
Subject to that, our total liability to you in connection with any engagement is limited to the fees paid by you for the services in the twelve months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses, loss of profit, loss of business, loss of goodwill, or loss of data.
9. Termination
Either party may terminate a recurring service by giving 30 days' written notice. We may terminate immediately if you materially breach these terms and do not remedy the breach within 14 days of being asked to.
On termination of hosting, we will provide a final export of your site if requested within 30 days of the end date.
10. Changes
We may update these terms from time to time. The current version is always at this URL with the date it was last updated. Continued use of our services after changes amounts to acceptance.
11. Governing law
These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
